The Alliance Healthcare Foundation (AHF) 2025 Innovation Initiative (i2) Grant Agreement outlines a $1,000,000 grant award to a selected 501(c)(3) organization or qualifying state educational institution in California. The awarded funds are dedicated to advancing a project proposed by the grantee in response to AHF's 2025 Innovation Initiative, with the goal of improving health outcomes and reducing health disparities for low-income and marginalized populations in San Diego and Imperial Counties. The funds are restricted to activities directly supporting this project, and any unused funds must be returned to AHF. The grant term runs from January 2025 to June 2026, with a detailed payment schedule based on project milestones. Payments are made in installments, each contingent upon the grantee's successful achievement of specific milestones. Additionally, AHF permits the grantee to pursue other funding sources for the project, provided that such funding does not conflict with the objectives outlined in this agreement. AHF specifies strict guidelines for the use of grant funds, prohibiting expenditures for political activities, such as influencing legislation, supporting voter registration drives, or any use outside of Section 170(c)(2)(B) charitable purposes. Quarterly narrative and financial reports are required to track the project’s progress and financial status, which must be certified by a responsible officer of the grantee. A final cumulative report is due within 90 days after the project or grant term concludes. The grantee must also maintain accurate records for at least four years following the grant's completion, allowing AHF the right to inspect these records. The grantee retains ownership of all project-related work, though AHF receives a non-exclusive, perpetual license to use the project outcomes for charitable and educational purposes. If the project is discontinued, the grantee may be required to grant a license to AHF or another charitable entity to continue its development. Public recognition of AHF’s support requires prior written consent, and AHF reserves the right to disclose grant details publicly in reports or on its website. To maintain the grant, the grantee must notify AHF of any significant changes, including legal or tax status adjustments or key personnel changes. Non-compliance with the terms or any risk posed to AHF’s legal standing allows AHF to withhold, reclaim, or terminate the funding. The grantee is also bound by indemnification provisions, agreeing to defend and hold AHF harmless against any claims arising from the project’s execution. This agreement is governed by California law and supersedes any prior discussions, requiring any modifications to be documented in writing. Both AHF and the grantee must sign the agreement to formalize acceptance, and the grantee's commitment to these terms is critical to secure and retain the funding throughout the grant period.
